Amendment to the Articles of Incorporation of the Twin Lakes Economic
Development Corporation

formed under Act No. 404 of the year 1955, of the General Assembly
of the State of Arkansas)

On November 6, 2002,
at the annual meeting regularly called and with proper notice to
all members, and with a quorum present, the following amendments
to the Twin Lakes Economic Development Corporation Articles of Incorporation
were approved by a vote of 14 for and 0 against.
Paragraph One (1) of
the Articles of Incorporation shall be amended as follows: The name
of the corporation shall be North Central Arkansas Regional Economic
Development Corporation.
Paragraph Two (2) shall
be amended to state that the purpose for which the organization
is organized is to encourage and promote the economic, industrial
and agricultural development of the North Central Arkansas Region
consisting of the County of Baxter and other counties which shall
be so designated by the membership, and in the furtherance of that
purpose, to acquire, use and dispose of real and personal property,
or any interest therein; to borrow money, to issue its bond or other
obligation therefore, and secure the payment thereof by mortgage,
pledge or deed of trust of all any part of its property, assets,
revenues, or income; and exercise all of the general powers conferred
on industrial development corporations.
Paragraph Four
(4) shall be amended to state that the business and property of
the corporation shall be managed by a Board of Directors comprised
of not less than nine (9) nor more than fifteen (15) to be elected
at the annual meeting of the membership.
Paragraph Five
(5) is amended to state that the principal office of the corporation
shall be located in the city of Mountain Home, County of Baxter,
State of Arkansas. The name of the resident agent of this corporation
is the Executive Director, Gildo R. de Lorenzo, and the registered
office of this corporation is 213 East Sixth Street, Suite 115,
Mountain Home, Arkansas 72653.
